Terms of Use — CNG Studios

English Controls. These Terms of Use are available in English and Spanish. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail and govern.

1. Acceptance of Terms

By accessing or using any website, application, or service operated by CNG Studios LLC ("CNG Studios," "we," "us," or "our") — including but not limited to cngstudios.com, mypixiesuite.com, our entertainment brand websites, our SaaS applications, and any subdomains or affiliated properties we operate from time to time (collectively, the "Services") — you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree with any part of these terms, you must not use our Services.

Your continued use of the Services following the posting of changes to these terms constitutes your acceptance of those changes.

2. Description of Services

CNG Studios is an independent cross-medium entertainment and technology studio based in Miami, Florida. We operate two divisions:

Entertainment Division

Our brand websites showcase and distribute entertainment content including books, novels, music albums, short films, artwork, coloring books, and interactive experiences across multiple brands.

My Pixie Suite (SaaS Division)

A suite of AI-powered business automation tools including EchoPixie (social media management), HadesPixie (financial tracking), IrisPixie (CRM), AthenaPixie (business intelligence), GaiaPixie (AI customer support), HermesPixie (logistics), CalliPixie (publishing), SirenPixie (music production), ClioPixie (content management), and other applications. These are web-based platforms that allow businesses to create, schedule, manage, and publish content across multiple platforms; track finances; manage customer relationships; and automate business workflows.

All trademarks, service marks, and brand names — including but not limited to Alix Alora, Helix Enforcers, Neolonia, Radioura, InhumanCorp, My Pixie Suite, EchoPixie, HadesPixie, IrisPixie, AthenaPixie, GaiaPixie, HermesPixie, CalliPixie, SirenPixie, CerberusPixie, HecatePixie, ClioPixie, and OrpheusPixie — are the property of CNG Studios LLC.

3. Eligibility

You must be at least 16 years of age to use the Services or to submit any personal information (including newsletter subscriptions and contact form submissions). The Services are not directed to children under 16. If you are a parent or guardian and believe a minor has provided us with personal data, please contact us at [email protected] and we will delete it promptly. 4. Account Registration

CNG Studios does not currently offer public account registration on its marketing or brand websites (cngstudios.com and affiliated brand domains). To use our SaaS applications (My Pixie Suite), you must create an account with a valid email address and password via the authorized signup flow for that application. You are responsible for:

Maintaining the confidentiality and security of your account credentials;
All activity that occurs under your account;
Notifying us immediately of any unauthorized use or security breach at [email protected].

5. Your Content

Ownership

You retain all ownership rights to the content you create, upload, or publish through our Services. We do not claim any intellectual property rights over your content.

License to Us

By using the Services, you grant CNG Studios a limited, worldwide, non-exclusive, royalty-free license to store, process, transmit, and display your content solely for the purpose of providing the Services — including publishing content to your connected social media platforms at your instruction.

Your Responsibility

You are solely responsible for the content you create and publish through the Services. You agree not to use the Services to publish, transmit, or store content that is illegal, defamatory, harassing, infringing, obscene, or otherwise in violation of any applicable law or any connected platform's terms of service.

6. AI-Generated Content and Data Isolation

Our SaaS applications include AI-powered features that generate content suggestions, captions, briefs, analyses, and automation outputs. AI-generated content is provided as a starting point — you are responsible for reviewing, editing, and approving all content before publication or distribution. CNG Studios is not liable for AI-generated content that you choose to publish or distribute.

Self-Hosted AI Infrastructure

All AI processing is performed on private, self-hosted servers owned and operated by CNG Studios. No user data, content, or platform credentials are sent to any third-party AI service or external AI API. Your content, connected-platform data, and credentials are never used to train AI models. AI features operate only on user-provided brand settings and instructions composed within the Services.

Platform AI Disclosure

When publishing to platforms that require AI content disclosure (such as TikTok, Meta, and others), our applications include built-in compliance tools. You are responsible for ensuring proper AI-origin disclosures are enabled for your publications.

7. Connected Platforms and Data Use

Our SaaS applications connect to third-party platforms via their official APIs using OAuth authentication, including but not limited to TikTok, Instagram, Facebook, YouTube, LinkedIn, Pinterest, Bluesky, Threads, Spotify, Apple Music, and Amazon. By connecting a platform, you authorize us to publish content or exchange data on your behalf according to your instructions. You may disconnect any platform at any time, which revokes our access.

Limited Use of Platform Data

Data obtained from connected platform APIs is used exclusively to provide the Services you have requested. Such data is never sold, rented, shared with third parties for their own use, used to train AI models, used for advertising targeting, or repurposed for any use outside of the Services.

Google API Services User Data Policy

Our use of information received from Google APIs (including the YouTube Data API) adheres to the Google API Services User Data Policy, including the Limited Use requirements. Google user data is used exclusively to provide the Services and is never used for AI model training, advertising personalization, or any other purpose.

8. Subscriptions, Billing, and Refunds

Paid SaaS subscriptions are billed monthly or annually via our payment processor (Stripe). Subscription fees, trial periods, and feature entitlements are described on the applicable product page at the time of purchase.

Trial: Free trials, if offered, require a valid payment method. At the end of the trial, the subscription converts to paid unless cancelled.
Cancellation: You may cancel at any time via your account settings. Cancellation takes effect at the end of the current billing period.
Refunds: Subscription fees are non-refundable except where required by law. Contact [email protected] for exceptional circumstances.
Price Changes: We may change subscription prices with at least 30 days' notice. Founders and Early-Bird rates, where specifically offered and accepted, remain locked per the terms presented at signup.

9. Intellectual Property

The Services and all content, features, and functionality therein (other than your content) — including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design, selection, and arrangement thereof — are owned by CNG Studios LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Prohibited Uses

You agree not to use the Services to:

Violate any applicable law or regulation, or the rights of any third party;
Publish or transmit any content that is unlawful, defamatory, harassing, obscene, threatening, or infringing;
Attempt to gain unauthorized access to the Services, other accounts, or our infrastructure;
Interfere with or disrupt the Services or servers/networks connected to the Services;
Use the Services to send spam, unsolicited commercial messages, or bulk messaging that violates applicable anti-spam law (including the CAN-SPAM Act and GDPR);
Reverse engineer, decompile, or attempt to extract the source code of the Services, except as expressly permitted by applicable law;
Use automated means (bots, scrapers, crawlers) to access the Services in a manner that violates these Terms or overloads our infrastructure.

11. Third-Party Services and Links

The Services may contain links to, or integrate with, third-party websites and services that are not owned or controlled by CNG Studios. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that CNG Studios is not responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

CNG STUDIOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CNG STUDIOS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CNG STUDIOS FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless CNG Studios LLC and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, and representatives, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or your content.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) shall survive.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will post the revised Terms on this page and update the "Last updated" date at the top. Material changes will be communicated to registered SaaS users via email where reasonable. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
